1. Introduction

These Terms of Service (“Terms”) govern your use of NALA’s USD Global Account service (the “USD Wallet” or the “Service”), which enables you to receive cross-border payments in United States Dollars (USD), hold USD-denominated value, and, where available, convert and withdraw funds in the local currency of the country in which the Service is provided ("Local Currency").. 

By creating or using a USD Wallet, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

The Service is provided by NALA in partnership with licensed financial institutions and service providers (“Partners”) and is operated in accordance with applicable local payment services laws and regulatory permissions in jurisdictions where this service is offered by us..

2. Nature of the Service

The USD Wallet is a payment facilitation product and not a bank account. It is designed to enable the receipt of cross-border remittances, the temporary holding of USD-denominated value, and, where supported, the conversion and withdrawal of funds into the applicable Local Currency through available withdrawal channels.

You will not earn interest on any balance held in your USD Wallet, and your balance does not constitute a deposit with NALA. The value reflected in your wallet represents a claim against funds managed by NALA and its Partners.

3. Eligibility

To use the Service, you must be at least 18 years old, legally resident in the country you select as your country of residence when registering for the Service, and capable of entering into a binding legal agreement. NALA may refuse access to the Service where the Service is not available in your selected country of residence, or where otherwise required by law or risk considerations.

4. Account Creation and Verification

You are required to provide accurate and complete information during registration and throughout your use of the Service, including identification documents and any information necessary to verify your identity and source of funds. NALA and its Partners may verify this information using third-party services.

Failure to meet verification requirements or providing inaccurate information may result in restricted access, suspension, or termination of your account.

5. Receiving Funds

You may receive USD into your wallet from approved international senders. NALA reserves the right to restrict, reject, or return transfers, or request additional information before processing transactions.

Once funds are received, they will be reflected as a USD balance in your wallet.

6. Holding USD Value

Your USD Wallet balance represents USD-denominated value held on your behalf through NALA and its Partners. This balance is not a bank deposit and does not create a direct relationship between you and any underlying financial institution.

7. Conversion and Withdrawal

You may convert your USD balance into the applicable Local Currency and withdraw funds through supported local payout channels made available by NALA from time to time, including bank accounts and mobile money wallets or other supported payment methods, subject to applicable laws, regulatory requirements, and operational availability in the relevant jurisdiction.

All transactions are subject to applicable fees, exchange rates, and compliance checks. Processing times may vary depending on the payment channel and operational requirements.

8. Currency Conversion (FX Terms)

Exchange rates will be displayed before you confirm a transaction and may include a margin or spread. Rates may fluctuate prior to confirmation.

By proceeding with a transaction, you accept the exchange rate and any applicable fees. NALA is not responsible for losses arising from exchange rate movements.

9.  Local Currency Funding

Subject to jurisdictional availability, you may fund your USD Wallet via local-currency pay-ins through designated Collection Partners. Any local currency provided will be converted and credited as USD-denominated value; the relevant exchange rate and associated charges will be presented for your approval prior to confirmation.

10. Transfers, Remittances, and Disbursements

The USD value held in your wallet may be utilized to: (a) transfer value to other NALA users; (b) remit funds to recipients through local currency conversion; and (c) execute payouts to supported local channels, such as bank or mobile money accounts. Please note that balances cannot be withdrawn as physical US dollars or to USD bank accounts; all payouts are settled in the applicable local currency. Prior to transaction confirmation, the following details will be disclosed:

the total USD volume for transfer, conversion, or disbursement;

the specific exchange rate applied to any required currency conversion;

the final amount to be received by the recipient in their local currency;

all applicable service fees and transaction charges; and

the designated recipient wallet or payout destination.

By confirming the request, you attest to the accuracy of the information and authorize NALA and its Partners to execute the transaction. While you may cancel prior to confirmation, once a transaction is accepted for processing, it may be irrevocable. Where the transaction was authorised by you, your rights are governed by Section 19 (Limitation of Liability); where the transaction was unauthorised or resulted from a scam, your rights are governed by Section 17A (Liability for Unauthorised Transactions and Scam-Related Losses).

Operational timelines and processing durations may vary based on the chosen payout channel, Partner requirements, and regulatory compliance obligations.

11. Fees and Charges

NALA may charge fees for currency conversion, withdrawals, and other transactions. All applicable fees will be disclosed to you before you confirm a transaction.

12. Transaction Limits

Transaction limits may apply to the size, frequency, and total value of transactions and wallet balances. These limits may vary depending on regulatory requirements and your level of verification.

13. Custody and Safeguarding of Funds

Funds associated with your USD Wallet are held and managed by NALA’s banking Partners in accordance with applicable laws, regulatory requirements and safeguarding obligations in the jurisdictions where the Service is provided.

Such funds may be held in pooled or segregated accounts across one or more institutions. NALA does not guarantee that your funds are protected by deposit insurance schemes.

14. Prohibition on Virtual Asset Use

The Service does not support and must not be used for any virtual asset or cryptocurrency-related activity. You are strictly prohibited from using your USD Wallet to buy, sell, trade, or invest in cryptocurrencies or other virtual assets, to fund accounts with virtual asset service providers, to receive proceeds from virtual asset trading, or to send funds to or receive funds from blockchain addresses or digital wallets.

NALA does not facilitate virtual asset services and operates in compliance with regulatory restrictions in Tanzania. NALA reserves the right to block, reverse, or investigate any transaction suspected to be connected to such activity and may suspend or terminate your account.

15. Compliance and Monitoring

NALA and its Partners may monitor your transactions, account activity and use of the Service to comply with applicable laws, regulatory requirements, sanctions obligations, and anti-money laundering, counter-terrorism financing, fraud prevention, and other financial crime prevention requirements in each jurisdiction where the Service is offered..

You agree to cooperate with any requests for additional information or documentation. NALA may delay, block, or refuse transactions, or freeze your account where required to comply with legal or regulatory obligations or to manage risk.

16. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must provide accurate and truthful information at all times and must not engage in fraud, money laundering, or any other illegal activity. You may not use the Service on behalf of third parties without authorization.

17. Account Security

You are responsible for maintaining the confidentiality of your account credentials and must not share them with others. You must notify NALA immediately if you suspect unauthorized access or fraudulent activity.

NALA may suspend your account to protect you and the integrity of the Service.

17A. Liability for Unauthorised Transactions and Scam-Related Losses

Where you suffer a loss resulting from an unauthorised transaction on your USD Wallet or as a result of a scam involving your USD Wallet, NALA will investigate the matter promptly and, where required under applicable law, reimburse or otherwise compensate you for any loss for which NALA is responsible, unless it is established that the loss resulted from your fraud, negligence, wilful misconduct, or breach of these Terms. You must notify NALA as soon as you become aware of any unauthorised transaction or suspected scam in accordance with Section 17 (Account Security). Your rights and any remedies available in respect of unauthorised transactions or scam-related losses shall be governed by the applicable laws and regulatory requirements of the relevant jurisdiction.

18. Risk Disclosure

By using the Service, you acknowledge that cross-border payments and foreign currency services involve risks, including exchange rate fluctuations, delays caused by regulatory or banking requirements, fraud, sanctions screening, operational disruptions, and other risks associated with international money transfers. Additional risks or disclosures applicable to your jurisdiction may also apply..

The Service is provided on an “as is” basis without guarantees of uninterrupted or error-free operation.

19. Limitation of Liability

NALA is not liable for indirect, incidental, or consequential losses, including losses arising from incorrect information provided by you, delays caused by third parties, or actions taken by regulators or authorities.

20. Suspension and Termination

NALA may suspend or terminate your account if you breach these Terms, if suspicious activity is detected, or if required by law or regulatory authorities.

You may close your account at any time and withdraw any remaining balance, subject to applicable procedures.

21. Dormant Accounts


An account that has not been used to initiate or receive any transaction for the period prescribed under applicable law or, where no such period is prescribed, for such period as determined by NALA and communicated to you, may be classified as inactive or dormant. Before your account is classified as dormant, NALA will provide you with reasonable prior notice where required by applicable law. Dormant accounts, including any applicable fees, reactivation procedures, treatment of unclaimed funds, and safeguarding of balances, will be administered in accordance with applicable laws and regulatory requirements in the relevant jurisdiction.

22. Changes to the Terms

NALA may update these Terms from time to time to reflect changes in the Service or legal requirements. Where material changes are made, you will be notified. Continued use of the Service constitutes acceptance of the updated Terms.

23. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which the Service is provided to you, unless otherwise required by applicable law. Any dispute arising out of or in connection with these Terms or the Service shall be resolved in accordance with the applicable laws and dispute resolution procedures of that jurisdiction. 

23A. Complaints Handling and Escalation Procedure

If you have a complaint about the Service, you may submit it through the support channels described in Section 24. NALA will acknowledge and investigate your complaint promptly and seek to resolve it within the timeframe required under applicable law or, where no timeframe is prescribed, within a reasonable period.
If you are dissatisfied with NALA's response, or your complaint is not resolved within the applicable timeframe, you may escalate the complaint to the competent financial services regulator, ombudsman, or other dispute resolution body in the jurisdiction where the Service is provided, where such escalation rights are available under applicable law.

NALA collects, uses, stores, and otherwise processes your personal data to provide the Service, verify your identity, prevent fraud, comply with legal and regulatory obligations, and for other purposes described in NALA's Privacy Policy. Your personal data will be processed in accordance with applicable data protection and privacy laws in the jurisdiction where the Service is provided and any other applicable laws governing the processing of your personal data. Further information about the categories of personal data collected, how it is used and shared, your rights, and how to exercise those rights is available in NALA's Privacy Policy [https://www.nala.com/privacy-policy]. Where NALA relies on your consent for marketing or other optional processing activities, you may provide, withdraw, or manage that consent electronically at any time.
